Kratos wins $100 million sole-source space surveillance contract
Kratos received an approximate $100 million sole-source prime award for a ground-based space domain awareness system, adding to its defense backlog.
United Therapeutics (Nasdaq: UTHR) has agreed to acquire privately held Thymmune Therapeutics for up to $300 million, extending its reach in cell-based therapies tied to immune tolerance and organ transplantation.
The transaction, disclosed on July 2, includes $140 million in cash at closing, subject to post-closing adjustments, plus as much as $160 million in earn-out payments linked to clinical and regulatory milestones through the end of 2031.
Thymmune is a preclinical-stage biotech developing regenerative thymic cell therapies built around induced pluripotent stem cell-derived thymic cells. Its programs target post-transplant organ tolerance, immunodeficiencies and autoimmune diseases.
The lead asset, THY-100, is in preclinical development for congenital athymia, a rare disorder in which children are born without a thymus. The program has not yet entered human testing. In animal studies cited in company materials and sector coverage, THY-100 supported the formation of a so-called neo-thymus capable of facilitating T-cell development.
The acquisition fits United Therapeutics' broader strategy in organ manufacturing and transplant medicine. The company has built out programs in xenotransplantation, including genetically engineered pig organs, alongside regenerative medicine efforts in kidney and liver disease. A thymic cell platform gives United another approach to one of transplantation's central challenges: immune acceptance.
The deal structure reflects the asset's early stage. With Thymmune still preclinical, most of the headline value sits in contingent payments rather than cash at signing, a common structure for early-stage biotech acquisitions where acquirers want access to a platform without full economic exposure before clinical proof emerges.
The upfront cash is modest relative to United's scale. A secondary research note citing the company's latest disclosures said United held $3.47 billion in cash, cash equivalents and marketable investments as of March 31.
Near-term investor focus is likely to stay on development milestones such as IND-enabling work and any future regulatory filings for THY-100 or related programs. United did not disclose competing bids or an auction process, and it has not outlined a timeline for first-in-human studies in the announcement materials.
